Special Seminar on “Company Law”, February 22, 2017

February 23, 2017 Leave a comment

The “Special Seminar Series” is the brainchild of Director IMS, Prof. J. P. Sharma, who firmly believes in encouraging “Quality Discourse” in the campus.

Prof.J.P.Sharma, in his seminal lecture highlighted the importance of “Company Law” to the IMSians. He traced the origin of ‘Company Law’ to the 11th century in England, which was later adopted by the rest of world. During earlier period, ‘Guilds’ were promoted by an order, issued by the King , known as “Royal Charter”. He cited several developments prevailing that time- like creation of East India Co, Bank of England, BBC etc. which were set up under Royal Charter”. The important developments like 1844 Joint Stock Companies Act; 1855 Limited Liability Act; 1856 memorandum of Articles and 1862 known as the birth of ‘Company Law’, were some of the developments witnessed in evolution in ‘Company Law’. Prof. Sharma very categorically said India has stopped copying British laws now and evolved its own set up of laws.

On the issue of present status of Company Law, he said that by 1956, there were 30,000 companies which grew to more than 13 lakh by March 2014. The urgency for reform cropped up after the failure of “Satyam” in India. Out of 95 definitions, 33 new definitions were added. He thoroughly reflected on “One person Company”(OPC), KMP, woman director, independent directors. Prof. Sharma also dealt with initiatives on good governance ie secretarial standards, secretariat audit, audit & auditors; creation of Indian Financial Reporting Authority (INFRA), Class Action Suit and finally he discussed several important initiatives taken in the new law including prohibition on insider trading; and CSR. He said ‘there is a need to watch the watchdogs; reforming audit education; introducing whistle blower mechanism for corporate sector and state funding of elections’.

Two hours session was followed by ‘Question & Answer Session’, The Chairperson of “Special Seminar Series”- Dr. S.K. Dube, later on expressed “Vote of Thanks”.
